To register for a Texlic account or use Texlic services, you should read and comply with Texlic's "Terms of Service" (hereinafter referred to as "these Terms"). The term "Texlic" and "we" in these Terms refer to the applicable Texlic contracting party (as defined in Section 4 below).
Texlic provides a variety of products and services under these Terms, which help you set up online stores (hereinafter referred to as "Online Services") to sell your products or services to customers. These products and services are collectively referred to as "Texlic Services" in these Terms. Any new features or tools added to Texlic Services shall be subject to these Terms. We may update these Terms at any time, and you can view the latest version of the "Terms of Service" in the store. Texlic reserves the right to modify and update these Terms by posting updates and changes on the Texlic website. It is recommended that you check these Terms of Service periodically to stay informed about any updates or changes that may affect you. If you refuse to accept updates or changes to these Terms, please stop using Texlic Services immediately.
Before registering for a Texlic account or using Texlic services, you must read, agree to, and accept all the terms and conditions contained in these Terms, including the "Usage Agreement," "Privacy Policy," and "API License and Terms of Use" (hereinafter referred to as the "API Terms").

2.3 By using payment accounts in your store, you agree to be bound by the terms and conditions of the respective payment service providers, which may be amended from time to time. Such amendments are effective upon publication. If you continue to use payment accounts in your store after the publication of amended terms, you agree to accept the revised terms. If you disagree with any changes to the terms of the payment service providers, please deactivate your payment account and discontinue using the respective payment services in your store.

12. All terms and provisions of these "Terms of Service" shall be binding upon and inure to the benefit of the parties to these Terms and their respective successors, assigns, permitted transferees, and legal representatives. 2. We reserve the right to refuse service to anyone at any time.

6. Confidentiality
1. "Confidential Information" includes but is not limited to any and all information related to the disclosing party's business that is not publicly known, including specific business information, technical processes and formulas, software, customer lists, potential customer lists, names, addresses, and other information about customers and potential customers, product designs, sales, costs (including any relevant processing fees), pricing, unpublished financial information, business plans, and marketing data, as well as any other confidential and proprietary information, whether marked as confidential or proprietary. Texlic's confidential information includes all non-public information disclosed to you regarding us or the service, including information about our security program or practices.
2. Both parties agree to use each other's confidential information only to the extent necessary to fulfill their obligations under these Terms of Service and in accordance with other obligations set forth in these Terms of Service. Each party agrees to take all reasonable steps, at least equivalent to the measures taken to protect its own confidential information, to prevent any unauthorized copying, disclosure, or use of such confidential information, and (i) ensure that employees, agents, and subcontractors requiring access to such information comply with these confidentiality obligations; (ii) if disclosure is required by applicable law or court order, the receiving party will promptly notify the disclosing party in writing and make commercially reasonable efforts to ensure such disclosure is treated confidentially. 7. Limitation of Liability
1. You expressly understand and agree that, to the extent permitted by law, Texlic shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use Texlic services, including but not limited to loss of profits, goodwill, data, or other intangible losses.
2. To the extent permitted by law, Texlic and its suppliers shall not be liable for any loss of profits or special, incidental, or consequential damages arising out of or related to our website, services, or these Terms of Service (including negligence). You shall hold Texlic and its affiliates, partners, officers, directors, agents, employees, and suppliers harmless and indemnify them from any claims or lawsuits resulting from your violation of these Terms of Service or any associated documents (including the Usage Agreement) or your violation of any laws or third-party rights, including reasonable attorneys' fees and litigation costs incurred by us.
3. You use the service at your own risk. The service is provided to you "as is" and "as available" without any express, implied, or statutory warranties or conditions.
4. Texlic does not guarantee that the service will be timely, secure, error-free, or uninterrupted.
5. Texlic does not guarantee the accuracy or reliability of any results obtained through the use of the service.
6. Texlic is not responsible for any tax or fee obligations incurred by you as a result of using Texlic services.
7. Texlic does not guarantee the quality of any products, services, information, or other materials purchased or obtained through the service, or that any errors in the service will be corrected.
8. Waiver, Severability, and Entire Agreement
Texlic's failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision. If any provision of these Terms (including all documents incorporated by reference) is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, Texlic will amend and interpret such provision to replace it with valid, legal, and enforceable provisions that most closely approximate the economic effect of the invalid, illegal, or unenforceable provisions to the extent permitted by law, and the validity, legality, or enforceability of the remaining provisions of these Terms shall not in any way be affected or impaired.
These Terms of Service (including documents incorporated by reference) constitute the entire agreement between you and Texlic, governing your use of the service and account, and superseding any prior agreements between you and Texlic (including but not limited to any prior versions of the Terms of Service).
9. Intellectual Property and Customer Content
1. We claim no intellectual property rights over the materials you provide to Texlic services. All materials you upload remain yours. You can delete your account at any time to remove your Texlic store.
2. By uploading materials, you agree to: (a) allow other internet users to view the materials you publicly post on your store; (b) allow Texlic to store, display, and use your materials (for publicly posted materials); (c) Texlic may review and remove any materials submitted to its service at any time but is not obligated to do so.
3. You retain ownership of all materials you upload to the Texlic store; however, to make your store publicly visible, you agree to allow others to view the materials you publicly post. You are responsible for ensuring these materials comply with any applicable laws or regulations.
4. Texlic holds a non-exclusive right and license to use names, trademarks, service marks, and logos associated with your store to market Texlic services.
10. Shipping
For goods sold in your Texlic store, you may purchase shipping labels from Texlic's third-party carriers or independently contact third-party carriers for shipping services.
11. Theme Store
1. You may use design templates from Texlic Themes ("Theme Templates") to customize the appearance of your Texlic store.
You can choose to modify theme templates to suit your store. Texlic may, at its discretion, add or modify footer references to Texlic. Texlic may also, at its discretion, modify any content in violation of Texlic's "Usage Agreement" or "Terms of Service," even if you have already received such templates. Texlic may modify theme templates as needed to reflect technical changes and updates.
2. The intellectual property rights to theme templates remain with the designer. If you exceed the rights permitted by your theme purchase, the designer may take legal action against you. Texlic may, without prejudice to other rights and remedies, take administrative measures such as modifying or closing your store.
3. Technical support for theme templates is the responsibility of the designer, and Texlic is not obligated to provide such support but may assist you in contacting the designer.
4. It is the user's responsibility to ensure that newly installed templates do not overwrite or destroy user current or stored themes or user interfaces. Texlic assumes no liability for any loss or damage.
12. Fees and Payments
1. You must provide a valid payment method to avoid payment failure that may affect the use of your store. We recommend binding multiple credit cards in "Backend Settings" > "Billing" > "Plans and Payments" > "Payment Method Management" and authorizing them for billing payments. The billing payment technology is integrated and partnered with third-party professional financial companies, and the Texlic platform does not store any sensitive payment information, so please feel assured to use it.
2. Once the bill is issued, the system will automatically initiate deductions from your authorized payment method ("Authorized Card") until the service is terminated. If you set a default card, the system will prioritize deductions from the default card. Unless otherwise stated, all fees and other charges are in U.S. dollars, and all payments are calculated in U.S. dollars.
3. Fees will appear on the bill and be sent to the account owner via the provided email address. If you have questions about the bill, you can contact Texlic's relevant business department. Subsequent communication will be conducted via email, and the billing dispute details will be sent to the financial email address you provided for your store. You can configure or modify it in "Store Settings" > "System Settings" > "Basic Settings" > "Store Information" in the backend.
4. If you need an invoice, you can contact Texlic's relevant business department. The invoice will be sent via email to the financial email address you provided for your store.
5. Subscription fees are prepaid, and the estimated renewal time for your subscribed service is five calendar days before your subscription expiration date. For example, if the service expiration date is 2022-01-06 23:59:59, the estimated renewal time will be 2022-01-01 23:59:59.
6. If we cannot collect the subscription fee from the authorized card, we will send an email to the account owner notifying them of the payment failure and reminding them to update their credit card. We will attempt to charge the authorized card again every 24 hours, up to three attempts (including the initial attempt). After the third failed attempt, we may suspend or revoke access to your account. Once you pay all outstanding fees and the usage fee for the next billing cycle, your account will be reactivated and access will be restored.
7. If outstanding fees are not paid within 60 days from the suspension date, Texlic reserves the right to terminate your account.
8. All fees exclude applicable government taxes, charges, or fees ("Taxes"). You are responsible for paying all applicable taxes resulting from subscribing to or purchasing Texlic products and services. In jurisdictions where Texlic collects Taxes, Taxes are calculated based on the applicable tax rate for the billing address you provide us. Such charges are in addition to the costs of such products and services and will be charged to your authorized card. If you qualify for a tax exemption, you must provide proof of your tax-exempt status. In certain jurisdictions, this proof includes an original certificate demonstrating your tax exemption eligibility and compliance with applicable legal requirements. Tax exemption will only apply from the date Texlic receives qualifying proof of exemption. If Texlic does not collect Taxes from you, it is your responsibility to determine whether you must remit Taxes, and if required, you must remit them to the appropriate tax authority in your jurisdiction.
9. Except for taxes that Texlic collects from you and remits to relevant tax authorities, any legally required deductions or withholdings must be borne by you and separately paid to the relevant tax authorities. Texlic reserves the right to charge your authorized card the full amounts stipulated in these Terms, regardless of any such deductions or withholdings.
10. You are solely responsible for paying all applicable taxes arising from sales in your Texlic store.
11. Texlic does not provide refunds.
13. Cancellation and Termination
1. You can cancel your account and terminate these Terms of Service at any time by sending an email and following the specific instructions provided in Texlic's reply.
2. Termination by either party for any reason:
• Texlic will cease providing services to you, and you will no longer have access to your account;
• Unless otherwise stipulated in these Terms of Service, you are not entitled to any refund of fees on a pro-rata or other basis;
• Any outstanding payments owed to Texlic for using the services prior to the termination effective date will become immediately due and must be paid in full;
• Your Texlic store will be closed and taken offline.
3. Upon service termination, you must handle all domain-related matters with your domain provider.
4. On the service termination date, if you have any outstanding fees, you will receive a final bill via email. Once this bill is paid in full, no further charges will be incurred.
5. Texlic reserves the right to optimize services and update the Terms of Service, Usage Agreement, Privacy Policy, or other Texlic terms as needed due to changes in laws and regulations, as well as to modify or terminate Texlic services and/or your account. Termination does not affect any rights or obligations arising before the termination date.
Changes to the terms will be announced through a notice on the platform. If you disagree with the updated terms, you have the right to provide feedback before the effective date specified in the notice. If you still disagree with the updated terms after they take effect, you must stop using our services starting on the specified effective date, and the updated agreement will not apply to you. If you continue using our services after the updated agreement takes effect, you will be deemed to agree to the effective agreement.
6. Fraud: If we suspect you are involved in fraudulent activities (determined through judgment, settlement, insurance, escrow investigation, or otherwise), Texlic may suspend or terminate your account, without prejudice to Texlic's right to pursue other remedies.
14. Service and Fee Changes
1. Texlic may change service fees after providing a 30-day notice. Texlic may issue such notifications by publishing changes on the Texlic website or the management menu of your Texlic store at any time.
2. Texlic reserves the right to modify or terminate the service (or any part of it) without notice (unless otherwise required by applicable law).
3. Texlic is not liable to you or any third party for any modifications, price changes, suspensions, or terminations regarding the service.
15. Third-Party Services
1. Texlic may occasionally recommend and provide access to or enable third-party software, applications (hereinafter referred to as "Apps"), products, service interfaces, or website links (collectively referred to as "Third-Party Services") for you to consider or use, including services provided through the Texlic App Store or Expert Marketplace. These Third-Party Services are provided for your convenience, and any purchase, access, or use of such Third-Party Services will be transactions between you and the respective third-party service providers ("Third-Party Providers"). In addition to these Terms of Service, you agree to comply with specific additional terms applicable to services purchased from or provided by Third-Party Providers.
2. You assume all risks related to using Third-Party Services provided through the Texlic website. You are responsible for reading the applicable terms and conditions and/or privacy policies before using such services. In certain cases, Texlic may receive a share of revenue from Third-Party Providers whose services are recommended or chosen through the Texlic website.
3. We provide no warranties or representations regarding Third-Party Services. You acknowledge that Texlic has no control over Third-Party Services and bears no responsibility for their use by anyone. The availability of Third-Party Services on the Texlic website (including the App Store or Expert Marketplace), their integration with Texlic Services, or their enablement does not constitute or imply Texlic's endorsement, authorization, recommendation, or affiliation with them. Texlic does not guarantee the availability of Third-Party Services, and you acknowledge that Texlic may prohibit access to any Third-Party Services at its sole discretion without notice. Texlic bears no responsibility for any consequences of suspending or disabling access to Third-Party Services. Texlic strongly recommends seeking expert advice before using Third-Party Services to ensure they meet your needs. Particularly in assessing the correct tax rates to charge customers, tax calculators should be used as references only and not substitutes for independent tax advice.
4. By installing or enabling Third-Party Services in conjunction with Texlic Services, you authorize us to allow applicable Third-Party Providers to access your data and other materials, and take necessary steps to ensure the interoperability between Third-Party Services and Texlic Services. Any data exchange or interactions between you and Third-Party Providers are limited to you and those providers. Texlic assumes no responsibility for the disclosure, modification, or deletion of your data or materials, nor for any corresponding losses or damages caused by Third-Party Services or their access to your data or materials. Google Maps is a third-party mapping service used in Texlic Services. To use Texlic Services, you must accept Google's Universal Privacy Policy and Terms of Service for Google Maps and Google Earth and periodically review updates to their terms.
5. You acknowledge and agree: (i) submitting requests for assistance or other information implies your consent for one or more Third-Party Providers to contact you via the store owner's registered email (or other provided email) and applicable user email; (ii) Texlic will receive all emails exchanged between you and experts through the Expert Marketplace or any replies (directly or indirectly) from the marketplace ("Replies"). You further agree that Texlic may share your contact and background information submitted to Texlic with Third-Party Providers. Third-Parties may require access to certain backend pages of your Texlic store, and you can select which pages to grant access.
6. Relationships between you and any Third-Party Providers are strictly between you and them. Texlic is under no obligation to mediate disputes between you and Third-Party Providers.
7. Under no circumstances shall Texlic be liable for any direct, indirect, incidental, special, punitive, or other damages resulting from Third-Party Services or your relationships with Third-Party Providers, even if Texlic has been informed of the possibility of such damages. These limitations apply to the fullest extent permitted by applicable law.
8. If disputes arise with Third-Party Providers while using their services, you agree to indemnify Texlic and its affiliates, partners, officers, directors, agents, employees, and suppliers against any claims or damages initiated by third parties, including covering litigation costs and reasonable attorney fees incurred by Texlic.
16. Beta Services
Texlic may occasionally invite you to test pre-release or beta features ("Beta Services") that are still under development and not yet available to all merchants. To use Beta Services, you must comply with additional terms and conditions that Texlic will provide before you begin. Beta Services and related conversations and materials are considered Texlic Confidential Information and are subject to the confidentiality provisions in this Agreement. Without prejudice to these provisions, you agree not to make public statements or otherwise disclose your participation in Beta Services testing without Texlic's prior written consent. Texlic makes no representations or warranties about the functionality of Beta Services, which may differ from their final versions. Texlic may suspend Beta Services at its sole discretion at any time, bearing no responsibility for damages or injuries related to Beta Services. Texlic reserves the right to modify or not release commercial or final versions of Beta Services.
17. Feedback
Texlic welcomes ideas or suggestions for service improvement. Any feedback disclosed to Texlic, whether ideas, suggestions, evaluations, or comments about Texlic Services, Third-Party Services, or Providers ("Feedback") is neither confidential nor entitled to compensation. By providing Feedback (whether directly to Texlic or posted on forums or pages hosted by Texlic), you relinquish all ownership rights to Feedback, granting Texlic free use and implementation rights without your or third-party consent. Comments submitted about Third-Party Services or Providers must be accurate to your knowledge, legal, and not obscene, threatening, defamatory, infringing privacy or intellectual property rights, harmful to third parties, or offensive. Texlic reserves the right to edit or delete Feedback about Third-Party Services or Providers without obligation to review published Feedback.
18. Third-Party Rights
Except for Texlic, its affiliates, Texlic Users, or authorized accessors of Texlic Services, no other individuals or entities have the rights to enforce these Terms unless expressly stated otherwise. For clarity, this does not affect rights of permitted assignees.
19. Privacy and Data Protection
Texlic prioritizes the privacy protection of personal information ("Personal Information") belonging to you and your customers. By using Texlic Services, you acknowledge and agree to Texlic's collection, usage, and disclosure of Personal Information under its "Privacy Policy." Additionally, if: (a) you operate in the European Economic Area (EEA); (b) you offer goods or services to EEA customers; or (c) must comply with EU General Data Protection Regulation requirements, Texlic's collection and usage of any European resident Personal Information is subject to our "Data Processing Appendix."
